Client Responsibilities
To ensure smooth project delivery, clients are expected to adhere to the following responsibilities:
Accurate Info
Provide accurate information and cooperate during execution.
Timely Payments
Ensure milestone payments are made as per agreed schedules.
Material Rights
Ensure proper rights to any intellectual property or materials shared with us.
Payments and Billing
Fees will be defined in contracts or proposals. Payments must be made as per agreed schedules. Late payments may result in service suspension or penalties.
Intellectual Property
Intellectual property rights are assigned as follows:
Client Work
Upon full payment, ownership of custom-developed software may transfer to the client.
Company IP
We retain ownership of pre-existing tools, frameworks, and reusable libraries.
Product Offerings
For our own products, we retain complete and full intellectual property rights.
Confidentiality
Both parties agree to maintain strict confidentiality of all proprietary and sensitive information shared during engagement.
Limitation of Liability
To the maximum extent permitted by law: We are not liable for indirect, incidental, or consequential damages. Total liability shall not exceed the amount paid for services.
Warranties
Services are provided "as is" unless explicitly stated otherwise. We do not guarantee error-free operation or continuous availability.
Termination
Either party may terminate services as per contract terms or in case of breach. Upon termination, outstanding payments become due and access to services may be revoked.
Compliance with Laws
Both parties agree to comply with all applicable local, national, and international laws and regulations.
International Clients
For international engagements, contracts may specify governing law and jurisdiction. Currency and tax obligations will be defined separately.
Third-Party Dependencies
We are not responsible for failures or issues caused by third-party services, APIs, or external platforms.
Modifications
We reserve the right to update these Terms. Continued use of services constitutes acceptance of the updated Terms.
Governing Law
These Terms shall be governed by the laws of India. Jurisdiction shall lie in Jabalpur, Madhya Pradesh.
